Capturing Signing Intent.

We’ve all heard of the story about an enforceable contracts be written on a cocktail napkins or someone hiding an agreement under another document so that when you signed the first document your signature was transferred onto the one below; therefore giving the “covered” document the appearance of being a valid “signed” Document. Thankfully, common law supports the fact; the appearance of your signature does not always provide “Prima Facie” evidence you intended to sign that document. The above signer had the intent to sign the napkin, but not the hidden document. To protect the signer of documents, the law allows collateral evidence to establish a signer’s “intent” to sign. Authenticating Signers.

The level of authentication is equal to associated risk. For example, Negotiable instruments require very high authentication; this is why a notary is used. Lower level risk such as simple communications regarding accepted, confirmation of receipt may be meet by using a simple password method.
